A commercial umbrella policy provides additional liability coverage above your underlying business insurance policies, typically your commercial general liability (CGL), commercial auto, and employers liability. It kicks in when an underlying policy limit is exhausted.
Example:
Your CGL has a $1M per occurrence limit. A customer suffers a serious injury at your business and sues for $3M. Your CGL pays $1M. Your commercial umbrella pays the remaining $2M (up to the umbrella limit). Without the umbrella, your business assets are exposed to the $2M gap.
What commercial umbrella covers
- Excess liability over commercial general liability (CGL)
- Excess over commercial auto liability
- Excess over employers liability (part of workers' comp)
- Sometimes excess over professional liability, depends on the umbrella form
What it does not cover: the umbrella does not create new coverage, it only adds limits on top of existing underlying policies. A professional liability claim will not be covered by the umbrella if no underlying professional liability policy exists.
Underlying policy requirements
Umbrella carriers require minimum underlying limits, often $1M per occurrence / $2M aggregate CGL and $1M commercial auto. If your underlying limits are lower, you will need to increase them to qualify for the umbrella. This is worth checking before you quote.
Who needs commercial umbrella
- Contractors, GCs often require subcontractors to carry $2M to $5M umbrella as a subcontract condition
- Manufacturers with product liability exposure
- Retailers and restaurants with significant customer foot traffic
- Trucking and transportation businesses
- Healthcare businesses
- Any business with a commercial lease or contract specifying umbrella limits
Cost of commercial umbrella in NC
A $1M commercial umbrella typically costs $500 to $1,500 per year for a small business, depending on industry and underlying exposure. Adding $2M to $5M in limits increases cost incrementally, the second and third million are often the cheapest layers of coverage you can buy.
Cooper's take
Commercial umbrella is one of the highest-value coverages available per dollar of premium. For $500 to $1,000 per year, a small business gets $1M to $2M of additional protection above its existing policies. The industries where I most strongly recommend it are construction, food service, and any business with significant customer foot traffic. If your contracts require it, that settles the question, but even when not required, it is almost always worth having.

Frequently asked questions
What is the difference between a commercial umbrella and excess liability?
They function similarly, both add limits above underlying policies, but a true commercial umbrella may drop down to cover claims not covered by underlying policies under certain conditions. Excess liability strictly adds limits. Most small business policies use the term umbrella for both.
How much commercial umbrella do I need for my NC business?
A $1M umbrella is a reasonable starting point. Contractors and businesses with significant foot traffic often need $2M to $5M. Review your largest contracts, many specify required umbrella limits.
Does commercial umbrella cover professional liability claims?
Only if professional liability is a scheduled underlying policy on the umbrella. Many umbrella policies do not automatically cover professional claims, your specific umbrella form determines this.
Is commercial umbrella required by law in NC?
No. But it may be required by contract, commercial leases, general contractor subcontracts, and government contracts often specify minimum umbrella limits.
